Terms of Service

These Terms of Service (the “Terms”) form a binding agreement between you and Episo (“Episo,” “we,” “us”). By creating an account or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Episo is a software-as-a-service tool that ingests podcast or audio content you supply, generates a transcript, and lets you search and chat with that transcript using AI models. Features, limits, and pricing may evolve over time; the current capability set is what we provide on the date you access the Service.
2. Eligibility and accounts
You must be at least 16 years old, or the age of digital consent in your country, whichever is higher. You are responsible for keeping your sign-in credentials confidential and for all activity that occurs under your account. Notify us at legal@episo.io if you believe your account has been compromised.
3. Subscriptions and billing
- Plans are described on our pricing page. Paid plans renew automatically on the interval you selected (monthly or yearly) until you cancel.
- You authorise Stripe or PayPal, as applicable, to charge your payment method for the selected plan plus any applicable taxes.
- Fees are non-refundable except where required by law or as expressly stated in these Terms. If we make a material adverse change to a paid plan you have already purchased, we will offer a pro-rated refund of the unused portion.
- You can cancel at any time from your billing portal. Cancellation takes effect at the end of your current billing period; you keep paid access until then.
- If a charge fails and is not corrected within a reasonable grace period, we may downgrade your plan to the free tier.
4. Your content
“Your Content” means the podcast URLs, audio files, chat queries, and any other material you submit to the Service. You retain all rights to Your Content. By submitting Your Content, you grant us a worldwide, non-exclusive, royalty-free licence to host, process, transcribe, and display it solely to provide the Service to you and (where you have made an item public) to visitors of the corresponding public page.
You represent that you have the right to submit Your Content. Submitting copyrighted material you do not own or are not licensed to use is your responsibility, not ours; see also section 6.
5. Acceptable use
You agree not to:
- Use the Service to violate any law or the rights of any third party (including intellectual-property and privacy rights).
- Upload content that is defamatory, obscene, harassing, or contains malware.
- Scrape, reverse-engineer, or attempt to extract source code from the Service, except to the extent this restriction is prohibited by applicable law.
- Resell, rent, or sublicense the Service, or use it to build a competing product.
- Interfere with the integrity or performance of the Service, including by overwhelming it with automated traffic outside of documented API limits.
- Use the Service to generate content that infringes copyright, including by transcribing material you have no right to transcribe.
We may suspend or terminate accounts that violate this section.
6. Third-party content and copyright
The Service is a tool. When you point it at a third-party podcast, you are responsible for ensuring you have the right to do so under applicable copyright and the source platform's terms. We comply with the DMCA and equivalent notice-and-takedown regimes; send notices to legal@episo.io with the information required by 17 U.S.C. § 512(c)(3).
7. AI-generated output
Chat replies and transcripts are produced by automated models and may contain errors, omissions, or hallucinations. Do not rely on them for medical, legal, financial, or other professional advice without verifying with a qualified human source. You are responsible for how you use the output.
8. Our intellectual property
The Service, including its software, design, and documentation, is owned by us or our licensors and protected by intellectual-property laws. These Terms do not grant you any right in our trademarks, logo, or trade dress.
9. Termination
You can stop using the Service at any time and delete your account from Settings. We may suspend or terminate your access if you breach these Terms, if we are required to do so by law, or if continuing to provide the Service to you creates undue legal or commercial risk. On termination, sections that by their nature should survive (including IP, disclaimers, limitations of liability, and dispute resolution) survive.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT TRANSCRIPTS OR CHAT REPLIES WILL BE ACCURATE.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER WE NOR OUR SUB-PROCESSORS ARE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE OR (B) USD 100.
12. Indemnification
You will indemnify and hold us harmless from any third-party claim arising out of (a) Your Content, (b) your breach of these Terms, or (c) your violation of any law or third-party right.
13. Changes to the Service or these Terms
We may modify the Service or these Terms from time to time. Material changes to the Terms will be announced by email or an in-product notice at least 14 days before they take effect, unless the change addresses a security or legal issue requiring immediate effect. Continued use after the effective date constitutes acceptance.
14. Governing law and disputes
These Terms are governed by the laws of the jurisdiction where Episo is established, without regard to conflict-of-laws rules. Any dispute will be resolved in the competent courts of that jurisdiction. If you are a consumer in the EU/UK, this clause does not deprive you of any mandatory consumer protections of your country of residence.
